The service#
Keep is a project-management product for service-delivery teams, provided by Reveriext Inc., a Delaware corporation ("Reveriext", "we", "us"). These terms are the agreement between Reveriext Inc. and the person or organization that uses Keep ("you"). By creating a workspace, signing in, or connecting an AI client to Keep over MCP, you agree to them.
Keep is offered to businesses and professionals for use in their work. You must be at least 18 years old to use it. If you accept these terms for an organization, you confirm that you are allowed to do so, and "you" then means that organization.
Keep, its software and its name belong to Reveriext Inc. These terms give you the right to use the service while your trial or plan is active. They do not transfer ownership of any part of it.
Accounts and workspaces#
A workspace belongs to the organization that created it; access to it is managed through Clerk organization membership and the roles Keep defines (owner, manager, member, viewer, customer). You're responsible for who you invite and for what those people, and any AI client acting under their grant, do inside your workspace. A workspace may be established (a) by registering through the self-service sign-up process made available by Reveriext Inc. at hykeep.app, or (b) by accepting an invitation issued by Reveriext Inc.
Free trial and plans#
A new workspace on the Solo or Team plan starts with a 14-day free trial. A card is needed to start it. Nothing is charged during the trial, and you can cancel before it ends. If you do not cancel, the plan you chose begins when the trial ends and the card is charged. We email the workspace's owners and admins three days before the trial ends.
The free trial is one per person. Plans are billed by the month or by the year, in US dollars, and the price of a plan and of each extra seat is shown before you pay. Business and Enterprise plans are arranged with us directly.
Plans renew automatically. At the end of each monthly or yearly period the plan renews for another period of the same length, and the card is charged, until you cancel. You can cancel online at any time, as described underCancelling.
Price changes. If we change the price of your plan, we email the workspace's owners and admins at least 30 days before the new price applies. It applies from your next period, never to a period already paid for. If you do not want the new price, cancel before that period starts.
Seats#
A plan includes a number of seats, and you can add more. Members and pending invitations each take a seat.
- A seat added during a billing period is charged pro rata for the rest of that period.
- A seat you remove stays paid for, and can be reused, until the end of the period. It is not refunded.
- From the next period the plan bills for the members you have then, and never for fewer seats than the plan includes.
Payment, tax and refunds#
Payments are taken by Clerk Billing through Stripe, on the card you gave at sign-up or have since replaced.
Tax. Prices exclude tax. You are responsible for any sales, use, value-added or similar tax that applies to your purchase, other than taxes on our income. Where we are required to collect a tax, it is added to the charge and shown to you.
Refunds. We do not give refunds, except where the law requires one. Cancelling stops the next charge; it does not return a charge already made, and the workspace keeps working until the end of the period it paid for.
If a payment fails#
If a charge for your plan fails, we email the workspace's owners and admins, and then:
- The first 7 days: grace. The workspace works as normal, with a notice on every page.
- After 7 days: read-only. Reading and export still work; nothing can be added or changed.
- After 30 days: suspended. The workspace is closed. Its owners and admins can still pay, or download an export.
Paying at any point opens the workspace again as it was left. A workspace that is still unpaid 90 days after it was suspended is purged, after two warning emails, 30 days and 7 days before.
Cancelling#
An owner or admin can cancel the plan online at any time, in the workspace's Settings → Plan & billing. No email or call is needed. The cancellation takes effect at the end of the period already paid for, and the workspace works as normal until then.
After that period ends the workspace is read-only for 30 days, then suspended, and it is purged 90 days after the period ended, after two warning emails, 30 days and 7 days before. Choosing a plan again before the purge opens it as it was left.
The owner can also delete the workspace, in Settings → Workspace. That cancels the plan in the same way: no further charge and no refund. The workspace is read-only for 30 days, during which the owner can undo the deletion, and is then purged. Undoing the deletion does not bring the plan back; it stays cancelled, and a plan can be chosen again when the paid period runs out. What is removed, and what is kept, is set out under "How long we keep it" in the privacy policy.
Acceptable use#
You agree not to use Keep to:
- store or transmit unlawful content, or content you don't have the right to share;
- send spam, or upload malware or anything else meant to harm a system or a person;
- attempt to access another workspace's data, or circumvent the tenant, role or connector-grant boundaries Keep enforces;
- probe, scan or overload the service in a way that degrades it for other tenants;
- take more than one free trial;
- reverse-engineer the product beyond what applicable law permits.
Your data#
You and your organization own the content you put into your workspace — the requirements, tasks, decisions, artifacts and everything else eleven record kinds hold. We don't claim ownership of it, we don't use it to train a model, and Keep never sells data. We process it to run the service for you, as described in theprivacy policy.
You give us permission to host, copy, transmit and display your content only as far as is needed to provide, secure and support the service for you. You are responsible for your content: that you have the right to put it in Keep, and that it is lawful.
AI features#
Keep includes AI features, and you can connect your own AI client to it. AI output can be wrong or incomplete. Check anything important before you rely on it. Actions that Keep's AI or a connected client takes in your workspace are taken under your account and your role, and you are responsible for them as you are for your own.
Availability#
We aim to keep Keep available and reliable, but the service is provided "as is" and "as available," without warranties of any kind, express or implied — including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee uninterrupted or error-free operation. No service level applies unless we have agreed one with you in writing.
Limitation of liability#
To the maximum extent the law allows, neither side is liable to the other for indirect, incidental, or consequential damages — lost profits or lost data, for example — arising from using or being unable to use Keep. Each side's total liability under these terms is capped at the amount you paid us for the service in the twelve months before the claim arose, or US$100 if that is greater.
Nothing in these terms limits liability that the law does not allow to be limited, or your obligation to pay what you owe for the service.
Claims caused by your content#
If someone else brings a claim against Reveriext because of content you put in Keep, or because you broke the acceptable-use rules above, you will cover the reasonable costs and damages that result. We will tell you promptly about any such claim and let you take part in answering it.
Termination#
Either side can stop using the service, or end this agreement, at any time. You end it by cancelling your plan or deleting your workspace. We may suspend or terminate a workspace that breaches acceptable use, with notice where reasonably possible, and a workspace that is unpaid, as described under If a payment fails. On termination, your data is handled as described under "How long we keep it" in the privacy policy.
Changes to these terms#
We may update these terms as the product changes. We'll update the date at the top of this page. For a material change, we email active workspace owners at least 30 days before it takes effect. If you keep using Keep after that date, the updated terms apply. If you do not agree to them, you can cancel before they take effect.
Governing law#
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any dispute arising from these terms or from Keep is brought in the state or federal courts located in Delaware, and both of us submit to their exclusive jurisdiction.
Before either side goes to court, it will write to the other and allow 30 days to try to settle the matter. Nothing in these terms removes a right that the law where you live gives you and does not allow to be waived.
General#
These terms, with the privacy policy and any plan you have agreed with us in writing, are the whole agreement between us about Keep. If a court finds part of them unenforceable, the rest stays in force. Not enforcing a term at one time does not give up the right to enforce it later. You may not transfer this agreement without our written consent; we may transfer it as part of a merger or a sale of the business, and will tell you if we do. Neither side is responsible for a failure caused by events beyond its reasonable control.
We send notices by email to the workspace's owners. You send notices to us at the addresses below.
